These Terms of Service (“Terms”) govern your use of the managed n8n automation services (the “Service”) provided by Aethereon LLC. By subscribing to or using our Service, you (“Client”, “you”, “your”) agree to these Terms.

01Service Description

1.1. We provide setup, hosting, and ongoing management of a dedicated n8n instance for your business automation workflows.

1.2. You receive full administrator access and ownership of the instance.

1.3. Subscription plans include:

1.4. Major workflow development or adjustments are not included and will be billed separately.

02Subscription Plans & Usage

2.1. Plans include the following OpenAI token allowances per billing cycle:

2.2. If you exceed your included token allowance, additional usage may be billed at current market rates.

2.3. Hosting infrastructure is provided via third-party providers (e.g., DigitalOcean). By using our Service, you agree to also comply with their terms of service.

03Fees & Payment

3.1. A one-time, non-refundable setup fee is charged at onboarding.

3.2. Subscription fees are billed in advance, on a monthly basis, according to the plan selected.

3.3. A minimum commitment of 3 months applies to all subscriptions. After this initial term, the subscription continues month-to-month until canceled.

3.4. Cancellation requires 30 days’ notice before the next billing cycle.

04Client Responsibilities

4.1. You are solely responsible for:

4.2. You agree not to use the Service for unlawful purposes, spam, abusive activity, or to violate the rights of others.

4.3. You are responsible for securing your own administrator credentials.

05Access & Maintenance

5.1. We may access your instance only when necessary to perform setup, updates, maintenance, or support.

5.2. Scheduled updates or emergency fixes may require temporary downtime. We will make reasonable efforts to notify you in advance.

5.3. While we strive for stable performance, no specific uptime or availability guarantee is provided.

06Support

6.1. Subscription includes up to 1 hour per month of minor adjustments or updates (e.g., fixing broken connections, updating credentials).

6.2. Any development work beyond this scope (e.g., building new workflows, major redesigns) is not included and will be billed separately under a separate agreement.

07Termination & Suspension

7.1. We may suspend or terminate your subscription immediately if you:

7.2. Upon termination, you retain full access to your instance and associated data, but hosting and support services will cease unless otherwise agreed.

08Data Ownership & Privacy

8.1. You retain ownership of all workflows, data, and credentials stored in your instance.

8.2. We will not access, use, or share your data except as required to provide the Service.

8.3. You are responsible for your own data backup and compliance obligations.

09Disclaimers & Limitation of Liability

9.1. The Service is provided “as is” and “as available.” We disclaim all warranties, express or implied, including fitness for a particular purpose.

9.2. Our liability for any claim under these Terms is limited to the fees paid by you in the three (3) months preceding the event giving rise to liability.

9.3. We are not liable for indirect, incidental, or consequential damages, including loss of revenue, business, or data.

10Governing Law

10.1. These Terms are governed by the laws of the State of Wyoming, USA, and applicable U.S. federal law.

10.2. Any disputes will be resolved in the courts located in Wyoming, unless otherwise mutually agreed.

11Changes to Terms

11.1. We may update these Terms from time to time.

11.2. Any material changes will be communicated in advance, and continued use of the Service constitutes acceptance of the updated Terms.

By subscribing to the Service, you acknowledge that you have read, understood, and agreed to these Terms of Service.
